Buyer/Seller Agreement

This Buyer and Seller Agreement (the "Agreement") is a legally binding contract between the buyer ("Buyer") and the seller ("Seller") governing the purchase and sale of goods or services. By entering into this Agreement, both Buyer and Seller agree to the terms and conditions outlined below:

Seller agrees to sell, and Buyer agrees to purchase, the specific goods or services as described in the purchase order, invoice, or any other mutually agreed-upon document ("Product/Service"). The Product/Service description may include quantity, specifications, price, delivery terms, and any additional terms agreed upon by both parties.

Buyer agrees to pay the agreed purchase price for the Product/Service in the currency specified in the purchase order or invoice. Payment terms, including due dates and accepted payment methods, shall be as agreed upon by both parties.

Seller shall make reasonable efforts to deliver the Product/Service to the designated location and within the agreed timeframe. Buyer agrees to inspect and accept the Product/Service upon delivery. Any discrepancies or defects should be promptly reported to Seller.

Title and ownership of the Product shall transfer from Seller to Buyer upon full payment and delivery. Risk of loss or damage to the Product shall transfer to Buyer upon delivery.

Seller warrants that the Product/Service will conform to the agreed specifications and will be free from defects in materials and workmanship. Seller's liability for any breach of warranty shall be limited to repair, replacement, or refund of the purchase price at Seller's discretion.

In no event shall Seller be liable for any indirect, incidental, consequential, or special damages arising out of or related to the Product/Service, unless otherwise specified in writing.

Seller warrants that the sale or use of the Product/Service will not infringe upon any third-party intellectual property rights. Buyer shall not reproduce, distribute, or use any intellectual property rights of Seller without prior written consent.

Both parties agree to keep any confidential information received during the course of the transaction confidential and not disclose it to any third party, except as required by law or with the other party's consent.

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Agreement. Any dispute arising out of or in connection with this Agreement shall be resolved through negotiation, mediation, or arbitration, as agreed upon by both parties.

This Agreement constitutes the entire understanding between Buyer and Seller and supersedes any prior agreements, whether written or oral, relating to the purchase and sale of the Product/Service.

 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By entering into this Agreement, both Buyer and Seller acknowledge that they have read, understood, and agreed to the terms and conditions stated herein.
